This document establishes the formal parameters for pre-contractual inquiries with me. It covers project evaluation, confidentiality during the vetting phase, and the transition to formal agreements, ensuring a professional and secure start to every potential collaboration.

Inquiry Terms 🤝

Before you and Julibe dive into exchanging briefs and plotting world domination, Julibe needs a “quid pro quo” and a contract!

Julibe offers you a penny for your thoughts, but without your autograph, Julibe’s mom won’t let him go out and play!

This section lays down the “boring-but-necessary” ground rules for when you and Julibe start talking about your brilliant ideas.

Think of it as a pre-game stretch so nobody pulls a muscle before Julibe even starts.

TL;DR

Sending an inquiry does not start a legal project; a project only begins after a signed agreement. Concepts shared are for Julibe’s evaluation and are submitted at the Prospect’s risk until a formal NDA is signed.

  • Effective Date: Jan 01, 2015 – Mar 25, 2027
  • Jurisdiction: Bogotá, Colombia Legal System, Law 1480 of 2011, and International Contract Frameworks

For the purposes of this document, the following definitions shall apply with absolute technical and legal precision:

  • Visitor or User: Denotes any natural person, corporate entity, or automated software agent (including but not limited to crawlers, scrapers, and indexing protocols) that initiates a network connection with the infrastructure or views any assets hosted on the domain.
  • Prospect: Denotes any individual or entity that initiates a formal inquiry, submits a commercial brief, or engages in pre-contractual communications with the specific intent of evaluating professional services.
  • Client: Denotes any individual or entity that has executed a definitive, legally binding Service Agreement and has fulfilled the requisite initial financial obligations as specified in said agreement.
  • Julibe: Refers exclusively to Julián De Salvador, acting as the sole proprietor and independent service provider, who maintains absolute ownership of the digital infrastructure, proprietary methodologies, and all intellectual property associated with the domain julibe.com and brand name Julibe.

The designations “User”, “Visitor”, “Client”, or “You” are utilized within this document to encompass any entity, whether human or algorithmic, that establishes a digital handshake with the server. All interactions are governed by the specific status of the entity at the time of the connection. Julibe is a single individual. 

Pre-Contractual Engagement Dynamics

By initiating an inquiry to Julibe, the Prospect agrees to these conditions. Submitting an inquiry acts solely as an “invitation to treat,” imposing no immediate obligations on Julibe.

Submitting an inquiry does not constitute a binding legal contract. A formal commercial relationship is established solely upon the mutual signing of a definitive agreement (MSA).

In compliance with applicable data protection laws, personal data submitted through inquiry forms will be processed with confidentiality. However, the Prospect submits project concepts at their own risk during the inquiry phase until a formal NDA is executed.

The Prospect retains all rights to original business ideas. By submitting proposals, the Prospect grants Julibe a limited, non-exclusive license solely to evaluate those concepts. The Prospect waives claims of misappropriation if Julibe develops similar concepts independently.

Client Responsibilities and Vetting Procedures

The Prospect warrants that all provided information is accurate and that the necessary corporate authority to request project estimates is held. Providing false company names may result in the immediate termination of discussions.

Julibe maintains discretion over project acceptance and reserves the right to change quoted estimates at any point prior to a signed contract.

Initial financial quotes are non-binding estimates. Julibe may offer a paid strategy or discovery consultation to properly define project scope before a full development agreement is issued.

Pre-Contractual Corporate Safeguards

Both parties agree to act in good faith. If negotiations fail, both parties agree to refrain from publishing knowingly false or defamatory comments regarding the other’s business practices.

The Prospect agrees not to bypass Julibe to directly hire any affiliate introduced strictly during the pre-contractual phase.

Preliminary design concepts or strategy suggestions provided by Julibe during the inquiry process remain the sole intellectual property of Julibe. They are provided specifically for service evaluation.

The Prospect may not utilize pre-contractual proposals provided by Julibe to execute the project internally or with third-party agencies. Unauthorized commercial use of Julibe’s strategy will be addressed as a breach of commercial trust.

Acceptance of this policy

By using Julibe’s Website, the User signifies acceptance of this policy. Continued use following changes will be deemed as acceptance of those changes.
